1. Business Use Only & Acceptance of Terms
PlataPOS is provided exclusively for business users (B2B). By accessing or using the PlataPOS service ("Service"), you confirm that you act in a professional or commercial capacity and are authorized to represent the entity you act on behalf of. By using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. Consumer use is strictly prohibited.
2. Description and Nature of the Service
PlataPOS is a cloud-based point-of-sale (POS) software platform designed to support sales operations, staff workflows, reporting, and integrations.
The Service is a technical tool only. Zaviki Sp. z o.o. does not act as a merchant of record, payment institution, or financial advisor, unless expressly agreed in writing.
3. User Account and Responsibilities
You are responsible for:
- Providing accurate and complete account information
- Maintaining the confidentiality of login credentials
- All activities performed under your account
- Training staff and correctly configuring the Service
The Customer bears sole responsibility for the content, data, and transactions entered into the Service (including fiscal receipts, cash register reports, and customer personal data).
The Customer is obligated to ensure that data entered into the Service complies with fiscalization regulations, e-receipt rules, data protection law (GDPR), tax law, and other applicable regulations in the countries where the Service is used.
The Customer is responsible for regularly backing up data exported from the Service, to the extent required by law or their own business needs.
Zaviki Sp. z o.o. bears no liability for loss of data entered into the Service, unless such loss occurred solely due to willful misconduct by Zaviki Sp. z o.o.
Upon termination of the agreement, Zaviki Sp. z o.o. may delete Customer data after 30 days, unless law requires further retention.
Zaviki Sp. z o.o. does not verify the substantive correctness of fiscal data, receipts, or reports entered or generated by the Customer.
The Customer bears full responsibility for the actions and omissions of their employees, collaborators, and third parties who have been granted access to the Service.
4. Subscriptions and Fees
Access to the Service may require a paid subscription. You agree to pay all applicable fees for your selected plan. Fees are non-refundable unless expressly required by applicable law or agreed otherwise in writing.
Fees may be changed with at least 30 days' prior notice to the Customer.
Subscriptions renew automatically for the next billing period unless the Customer cancels at least one (1) day before the end of the period. Renewal fees are charged to the card or account provided at purchase.
5. Third-Party Partner Integrations and Services
Zaviki Sp. z o.o. enables integration of the Service with systems, APIs, applications, payment terminals, fiscal printers, loyalty programs, ERP systems, e-commerce platforms, courier services, analytics tools, and other services provided by partners and third parties ("Integrations" / "Partner Services").
Use of Integrations is voluntary and is solely at the Customer's own risk and responsibility.
Zaviki Sp. z o.o. bears no liability for the operation, availability, security, regulatory compliance, or accuracy of data transmitted through Integrations, nor for any damages resulting from their use, including without limitation synchronization errors, downtime, data loss, unauthorized transactions, fiscal issues, or payment settlement problems.
The Customer undertakes to independently review the terms of service of Integration providers and to comply with them.
Zaviki Sp. z o.o. does not guarantee that any Integration will operate without errors, without interruption, or will be compatible with future updates to the Service.
Where an Integration is labeled 'certified', 'official', or 'recommended' by Zaviki Sp. z o.o., this does not constitute the assumption of any liability by Zaviki for its operation or consequences.
Zaviki Sp. z o.o. bears no liability for damages arising from errors, security vulnerabilities, failures, or data breaches in services or integrations offered by third parties.
6. Compliance and International Use
The Service may be used in multiple jurisdictions, including Poland, the United States, Canada, Italy, Spain, Brazil, and Malaysia.
You are solely responsible for compliance with all applicable local laws, including tax, fiscal, labor, consumer, and data protection regulations.
7. Acceptable Use
You agree not to:
- Use the Service in violation of any law or regulation
- Attempt unauthorized access to systems or data
- Transmit malicious code or interfere with the Service
- Use the Service in a manner harmful to Zaviki Sp. z o.o. or third parties
8. Intellectual Property
All rights, title, and interest in the Service, including software, content, trademarks, and documentation, remain the exclusive property of Zaviki Sp. z o.o.
9. No Warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted operation.
10. Limitation of Liability
To the maximum extent permitted by law, Zaviki Sp. z o.o. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business.
The total aggregate liability of Zaviki Sp. z o.o. shall not exceed the fees paid for the Service in the three (3) months preceding the claim.
Zaviki Sp. z o.o.'s liability is limited exclusively to actual damage (damnum emergens), excluding lost profits (lucrum cessans). In particular, Zaviki Sp. z o.o. bears no liability for lost revenues, lost data, lost contracts, reputational harm, business interruption, or other indirect consequences of using the Service.
11. Service Availability
Zaviki Sp. z o.o. does not guarantee uninterrupted availability of the Service and may perform maintenance or updates without liability. For planned maintenance or updates, Zaviki Sp. z o.o. will endeavor to notify the Customer at least 48 hours in advance. In the event of a failure, Zaviki Sp. z o.o. will endeavor to resolve it as soon as possible, without providing a guaranteed resolution time.
These Terms do not constitute a service level agreement (SLA), unless the parties enter into a separate written or electronic agreement.
Any information regarding Service availability is for informational purposes only and does not constitute a guarantee of a specific availability level.
12. Hosting Infrastructure Failure
Zaviki Sp. z o.o. uses hosting and cloud infrastructure provided by third parties (e.g., Amazon Web Services, Google Cloud, Azure, Hetzner, OVHcloud, or another provider).
Zaviki Sp. z o.o. bears no liability for interruptions, failures, delays, or unavailability of the Service caused by:
- Failures, outages, or limitations on the part of the hosting, cloud, or infrastructure provider
- Interruptions to internet access, transmission links, or network nodes of telecommunications operators
- DDoS attacks, cyberattacks, or other malicious actions targeting the hosting infrastructure
13. Service Updates and Modifications
Zaviki Sp. z o.o. reserves the right to update, modify, remove, or add features of the Service at any time, including changes to the interface, API, integrations, and the operation of the Service, without prior notice, provided this does not materially affect the scope of the paid subscription plan. A material change means the permanent removal of functionality explicitly stated in the official plan description applicable at the time of contracting.
14. Beta Features
Zaviki Sp. z o.o. may make available features labeled 'beta', 'test', or 'experimental'.
These features may be modified, suspended, or removed at any time without prior notice and without liability. Beta features may be unstable and are not covered by any warranties.
15. Suspension and Termination
Zaviki Sp. z o.o. may suspend or terminate access to the Service at any time, without liability, if these Terms are violated or required by law. The Customer may terminate the agreement at any time, effective at the end of the current billing period, unless the subscription plan terms provide otherwise.
Upon termination, fees paid for a commenced billing period are non-refundable.
Following termination, the Customer has the right to export their data in a standard format provided by the Service for a period of 14 days from the date of termination.
After this period, Zaviki Sp. z o.o. may permanently delete data without liability.
Zaviki Sp. z o.o. is not obligated to retain or archive data after the Service ends, unless required by law.
16. Force Majeure
Zaviki Sp. z o.o. bears no liability for non-performance or improper performance of the Service caused by circumstances beyond its control (force majeure), including internet infrastructure failures, DDoS attacks, power outages, decisions of public authorities, war, strikes, etc.
17. Data Protection
The processing of personal data is carried out in accordance with the Privacy Policy and — in the case of entrusted personal data — under a Data Processing Agreement (DPA) constituting an annex to these Terms or available in the customer panel.
18. Changes to These Terms
Zaviki Sp. z o.o. reserves the right to change these Terms at any time. We will notify you of changes with at least 14 days' notice via email or a notification in the Service panel. Continued use of the Service following the effective date of changes constitutes acceptance of the new terms.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of courts competent for the registered seat of Zaviki Sp. z o.o. In the event that these Terms are prepared in more than one language version, the Polish version shall be binding.
20. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
